Greenfield, Joint-Venture

A group of entrepreneurs, mostly HNWI from the USA and the UK, involved as investors in a promising joint venture with a group of Russian businessmen. The project involved development of a plant for manufacturing and selling in Russia and CIS countries of a technical insulation product. The project is financed through a mixture of equity and debt provided by the project sponsors. There is also a substantial amount raised by means of hire-purchase and trading finance.

We structured joint venture, which structure included onshore and offshore entities, drafted legal documentation including memorandum of understanding, joint venture agreement, articles of association, distributorship agreements and an option agreement. We provided legal and tax advice on various issues.
