St. Petersburg Retail Network: M&A, Franchising

We advised a St. Petersburg group of companies, a wallpaper trader, which included a network of retail stores, a trading company and a manufacturer located in China in relation to a perspective sale. The group consisted of a number of entities, both incorporated and unincorporated, with complex ownership structure and different rights on trading premises. Apart of retail business the company made substantial profit by supplying wallpaper to other retailers.

InterBusiness Consulting advised the client on the sale strategy and procedure, business valuation. The solution involved inter alia reorganisation of the business into franchise. We drafted an acquisition agreement which included a lock-in arrangement and a formula price connected to future performance of the business.
